End User License Agreement

This End User License Agreement ("EULA") is a binding legal agreement between you ("Licensee", "you") and simpleIOU ("Licensor", "we", "us") for the use of the simpleIOU software application, web client, and any associated documentation, updates, and online services (collectively, the "Software"). By installing, accessing, or using the Software you agree to be bound by this EULA. If you do not agree, do not install, access, or use the Software.
1. Licence grant
Subject to your continuous compliance with this EULA and any applicable Terms & Conditions, Licensor grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software solely for your own personal, non-commercial use, on devices you own or control.
2. Restrictions
You shall not, and shall not permit any third party to:
- copy, modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, except to the extent expressly permitted by applicable law notwithstanding this restriction;
- rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Software available to any third party;
- remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on or in the Software;
- use the Software to develop a competing product or for any benchmarking purpose;
- use the Software in any manner that violates applicable law or any third-party right;
- circumvent any technical limitations, usage caps, or access controls.
3. Ownership
The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set out in this EULA. All rights not expressly granted are reserved.
4. Updates
Licensor may, at its sole discretion, provide updates, patches, enhancements, or new versions of the Software. Such updates may be required for continued use and may add, modify, or remove features. This EULA governs all such updates unless accompanied by a separate licence.
5. Third-party components
The Software may include open-source or third-party components governed by their own licences. Those licences are incorporated by reference. In the event of a conflict between this EULA and a third-party licence with respect to that specific component, the third-party licence controls solely for that component.
6. Data & privacy
The Software allows you to enter financial-tracking data. You are solely responsible for the accuracy and lawfulness of all data you submit. Processing of personal data is governed by our privacy practices as described on the website. Calculations, forecasts, and summaries are informational only and provided "as is" — see Section 8.
7. Term & termination
This EULA is effective until terminated. Your rights under this EULA terminate automatically and without notice if you fail to comply with any of its terms. Licensor may also terminate this EULA at any time for any reason. Upon termination you must cease all use of the Software and destroy all copies in your possession. Sections 2, 3, and 8–12 survive termination.
8. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE OR ANY RESULTS IT PRODUCES (INCLUDING FINANCIAL FORECASTS AND CALCULATIONS) WILL BE ACCURATE OR RELIABLE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR, ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY. LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS EULA SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID LICENSOR FOR THE SOFTWARE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $20.
10. Indemnification
You agree to indemnify, defend, and hold harmless Licensor and its affiliates from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Software, your violation of this EULA, or your violation of any law or third-party right.
11. Export & sanctions
You may not use, export, or re-export the Software in violation of any applicable laws or regulations, including export-control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or person subject to relevant embargoes or sanctions.
12. Governing law
This EULA is governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of London, England shall have exclusive jurisdiction, except where mandatory consumer-protection law in your country of residence provides otherwise.
13. General
If any provision of this EULA is held unenforceable, the remaining provisions shall remain in full force. No waiver shall be deemed a further or continuing waiver. You may not assign this EULA without Licensor's prior written consent; Licensor may assign freely. This EULA, together with the Terms & Conditions, constitutes the entire agreement between you and Licensor regarding the Software.
